Terms of Service

These Terms of Service (“Terms”) govern your access to and use of QuickEngage (the “Service”), operated by Hikedeal Digital Media Private Limited (“Hikedeal”, “we”, “us”). By installing our Shopify app, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

QuickEngage is an omni-channel marketing and customer-engagement platform that lets you send broadcasts, build no-code journeys, run an AI chatbot, and manage a shared inbox across WhatsApp, SMS, RCS, Email, and Web Push, with integrations including Shopify.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract, and you must use the Service for business purposes. You are responsible for your account credentials and all activity under your account. You agree to provide accurate information and keep it current.

3. Shopify & third-party platforms

• The Service integrates with Shopify. Your use of Shopify is governed by Shopify’s terms, and we are not responsible for Shopify. You authorise us to access your store data via Shopify’s APIs to provide the features you enable, subject to Shopify’s Protected Customer Data requirements.
• Messaging is delivered through third parties including Meta / WhatsApp, SMS/RCS aggregators and carriers, and Amazon Web Services (Amazon SES) for email. Your use of these channels is subject to their respective terms and policies, and their availability is outside our control.

4. Acceptable use & messaging compliance

You agree not to use the Service to:

• Send spam, or unsolicited, unlawful, deceptive, infringing, or harmful content;
• Message any person without the consent required by applicable law and channel policies;
• Violate WhatsApp/Meta messaging policies, telecom/DLT registration requirements, or anti-spam laws (such as the TCPA, CAN-SPAM, GDPR/ePrivacy, and India’s TRAI/DLT rules);
• Reverse engineer, disrupt, overload, or gain unauthorised access to the Service;
• Upload malware or infringe others’ intellectual-property or privacy rights.

Consent is your responsibility. You represent that you have obtained all necessary consents and opt-ins from your contacts before sending messages, and that you will honour opt-out/unsubscribe requests promptly.

5. Your data & privacy

Our handling of data is described in our Privacy Policy. As between you and us, you are the controller of your customers’ personal data and we act as your processor. You are responsible for the lawfulness of the data you upload and the messages you send.

6. Fees, billing & subscriptions

Paid plans and message/usage charges are billed per the pricing shown at sign-up or in-app, which may be processed through Shopify billing or another provider. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing on prospective notice. Non-payment may result in suspension.

7. Intellectual property

The Service, including its software, design, and content, is owned by Hikedeal and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. You retain ownership of your content and data.

8. Confidentiality

Each party will protect the other’s non-public information disclosed in connection with the Service and use it only to perform under these Terms.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any message will be delivered, as delivery depends on third parties (carriers, Meta/WhatsApp, Amazon SES, and recipients). 10. Limitation of liability

To the maximum extent permitted by law, Hikedeal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Hikedeal from claims, damages, and expenses arising out of your use of the Service, your content, your messages, or your breach of these Terms or applicable law (including messaging-consent and data-protection laws).

12. Term & termination

These Terms apply while you use the Service. You may stop using and uninstall the app at any time. We may suspend or terminate access for breach, non-payment, or to comply with law. On termination, your right to use the Service ends; data handling follows our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised date. Continued use after changes take effect constitutes acceptance.

14. Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the competent courts having jurisdiction over Hikedeal’s registered office shall have exclusive jurisdiction over any dispute.
